By accessing or using the EduShield platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our services.
These terms constitute a legally binding agreement between you and EduShield. Your continued use of the platform following any modifications to these terms indicates your acceptance of such changes.
By registering an account, you confirm that you are at least 18 years old or have parental consent if you are a minor student.
User Responsibilities
As a user of EduShield, you agree to the following responsibilities:
- Provide accurate, current, and complete information during registration and maintain the accuracy of such information
- Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access
- Use the platform only for lawful purposes and in accordance with these Terms of Service
- Respect the intellectual property rights of EduShield and other users
- Comply with all applicable local, state, national, and international laws and regulations
- Maintain professional and respectful communication with other users, including students, teachers, and administrators
You are responsible for all activities that occur under your account. Failure to comply with these responsibilities may result in suspension or termination of your account.
Acceptable Use Policy
To ensure a safe and productive environment for all users, the following activities are strictly prohibited:
Prohibited Activities
- Uploading, posting, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Impersonating any person or entity or falsely stating or misrepresenting your affiliation with a person or entity
- Attempting to gain unauthorized access to any part of the platform, other accounts, or connected computer systems
- Interfering with or disrupting the platform, servers, or networks connected to the platform
- Using automated systems or software to extract data from the platform for commercial purposes
- Sharing access codes, login credentials, or subscription access with unauthorized third parties
- Engaging in academic dishonesty, including plagiarism or unauthorized collaboration on assignments
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may expose you to civil and criminal liability.
Account Management
Account Creation
To access certain features of EduShield, you must create an account. Account creation is typically managed by your language institute administrator, who will provide you with access credentials and enrollment codes.
Account Types
EduShield supports multiple user roles with different access levels:
- Administrator/Coordinator: Full access to platform management, teacher oversight, and reporting
- Teacher: Access to assigned courses, student management, grading, and attendance tracking
- Student: Access to enrolled courses, assignments, grades, and attendance records
- Owner/Superadmin: Multi-site management and high-level analytics (when applicable)
Account Security
You are responsible for maintaining the security of your account. We recommend using strong passwords and enabling two-factor authentication when available. Do not share your login credentials with anyone.
Account Suspension or Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms of Service or for any other reason we deem necessary to protect the platform and its users.
Subscription Terms
EduShield operates on an institutional subscription model. Language institutes subscribe to the platform on behalf of their staff and students.
Subscription Plans
We offer various subscription tiers based on the number of users, features required, and institutional needs. Specific pricing and features are detailed in your institution's service agreement.
Subscription Period
Subscriptions are typically billed on a monthly or annual basis, as agreed upon in your service contract. Your subscription will automatically renew at the end of each billing period unless cancelled in accordance with our cancellation policy.
Access Rights
Individual user access is granted through your institution's subscription. Your access rights are determined by your institution's subscription level and may be modified by your institution's administrators.
Upon termination or expiration of your institution's subscription, your access to the platform will be discontinued. Data retention policies will apply as outlined in Section 9.
Payments & Billing
Payment Obligations
Institutional subscribers agree to pay all fees associated with their chosen subscription plan. All fees are due and payable in advance for each billing period.
Payment Methods
We accept the following payment methods:
- Credit and debit cards (Visa, Mastercard, American Express)
- Bank transfers (for annual subscriptions)
- Purchase orders (for enterprise clients)
Late Payments
If payment is not received by the due date, we reserve the right to suspend access to the platform until payment is received. Late payments may incur additional fees as specified in your service agreement.
Price Changes
We reserve the right to modify our pricing structure at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice before any price increase takes effect.
Taxes
All fees are exclusive of applicable taxes, duties, and levies. You are responsible for paying all taxes associated with your subscription unless you provide a valid tax exemption certificate.
Cancellations & Refunds
Cancellation Policy
Institutional subscribers may cancel their subscription at any time by providing written notice to our support team. Cancellation will take effect at the end of the current billing period.
Refund Policy
We offer refunds under the following circumstances:
- Cancellation within 14 days of initial subscription for new customers (money-back guarantee)
- Service disruptions or technical issues that prevent platform access for extended periods
- Billing errors or duplicate charges
Refunds are processed within 10 business days and will be issued to the original payment method. Partial refunds for unused portions of subscription periods are not typically provided except in cases of service failure.
Account Data After Cancellation
Upon cancellation, you will have a grace period of 30 days to export your data. After this period, all account data may be permanently deleted in accordance with our data retention policies.
Intellectual Property Rights
Platform Ownership
The EduShield platform, including all software, design, text, graphics, logos, icons, images, audio clips, and other content, is the property of EduShield and is protected by international copyright, trademark, and other intellectual property laws.
Limited License
Subject to these Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your institution's educational purposes. This license does not permit you to:
- Modify, copy, distribute, transmit, display, perform, reproduce, or create derivative works from the platform
- Reverse engineer, decompile, or disassemble any part of the platform
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
User-Generated Content
You retain ownership of any content you upload to the platform, including assignments, lesson plans, and communications. By uploading content, you grant EduShield a worldwide, royalty-free license to use, store, and display such content solely for the purpose of providing the service.
Trademark Usage
The EduShield name and logo are registered trademarks. You may not use these trademarks without our prior written consent. Any unauthorized use may constitute trademark infringement.
Data & Privacy
Data Collection
EduShield collects and processes personal data as necessary to provide our services. This includes information provided during registration, usage data, and academic records. Our data practices are detailed in our separate Privacy Policy.
Data Security
We implement industry-standard security measures to protect your data, including:
- Encryption of data in transit and at rest
- Regular security audits and vulnerability assessments
- Access controls and authentication mechanisms
- Regular backups and disaster recovery procedures
Data Ownership
Your institution retains ownership of all educational data, including student records, grades, attendance, and academic content. We act as a data processor on behalf of your institution.
Data Retention
We retain your data for as long as your subscription is active and for a reasonable period thereafter as required by law or for legitimate business purposes. Upon request, we will delete or anonymize your data in accordance with applicable regulations.

Limitations of Liability
To the maximum extent permitted by law, EduShield and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:
- Your use or inability to use the platform
- Unauthorized access to or alteration of your data
- Loss of data, profits, or business opportunities
- Service interruptions or technical failures
- Actions or inactions of third parties
Maximum Liability
In no event shall EduShield's total liability to you for all claims arising from or related to these Terms of Service exceed the amount paid by your institution for the service during the twelve months preceding the claim.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Warranties & Disclaimers
Service Availability
While we strive to maintain high availability, EduShield is provided on an "as is" and "as available" basis. We do not guarantee that the platform will be uninterrupted, error-free, or completely secure.
Disclaimer of Warranties
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability and fitness for a particular purpose
- Warranties regarding the accuracy, reliability, or completeness of content
- Warranties that the platform will meet your specific requirements
- Warranties of non-infringement of third-party rights
Third-Party Services
The platform may integrate with third-party services and tools. We are not responsible for the availability, accuracy, or functionality of such third-party services and make no warranties regarding them.
Educational Outcomes
While EduShield provides tools to support language education, we make no guarantees regarding specific educational outcomes, student performance, or learning results.
Governing Law & Dispute Resolution
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which EduShield is registered, without regard to its conflict of law provisions.
Dispute Resolution
In the event of any dispute arising from these Terms of Service, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.
Jurisdiction
You agree to submit to the personal jurisdiction of the courts located in our registered jurisdiction for the purpose of litigating all such claims or disputes that cannot be resolved through arbitration.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Changes to Terms of Service
We reserve the right to modify these Terms of Service at any time. When we make material changes, we will provide notice through the platform or via email to your institution's administrative contact.
Notification of Changes
Significant changes to these terms will be communicated at least 30 days before taking effect. Minor changes, such as clarifications or formatting updates, may take effect immediately upon posting.
Acceptance of Modified Terms
Your continued use of the platform after changes to these Terms of Service constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of the platform.
Version History
Previous versions of these Terms of Service are available upon request. We maintain a record of all material changes for transparency and reference purposes.
